These Terms of Service ("Terms") govern your access to and use of the Zygonich website and any related services offered by Zygonich ("Company," "we," "us"). By using our website or engaging our services, you agree to these Terms.
1. Services
Zygonich provides custom software development services, including mobile applications (iOS/Android), MVPs, SaaS products, and related consulting. Specific deliverables, timelines, and fees are defined in a separate written proposal, statement of work (SOW), or service agreement signed by both parties.
2. Website Use
You agree to use our website only for lawful purposes. You may not:
- Submit false, misleading, or spam inquiries
- Attempt to gain unauthorized access to our systems or data
- Scrape, copy, or misuse website content without permission
- Interfere with the security or performance of the website
3. Estimates & Consultations
Cost estimates, timelines, and technical recommendations provided through our website, calls, or discovery sessions are indicative only and not binding until confirmed in a signed agreement. Actual scope and pricing may change after detailed requirements analysis.
4. Intellectual Property
Unless otherwise agreed in writing:
- Website content, branding, and pre-existing tools remain the property of Zygonich.
- Upon full payment, custom deliverables specified in the SOW are transferred to the client as agreed (typically including source code ownership where stated).
- Third-party libraries, frameworks, and open-source components remain subject to their respective licenses.
5. Client Responsibilities
Clients agree to provide timely feedback, content, credentials, and approvals needed for project delivery. Delays caused by the client may extend timelines and may incur additional fees.
6. Payment Terms
Payment schedules, milestones, and accepted methods are defined in the project agreement. Late payments may pause work and may incur interest or recovery costs as permitted by law. See our Refund Policy for cancellation and refund terms.
7. Confidentiality
We treat client business information shared during discovery and development as confidential. Mutual NDAs may be executed upon request before detailed scope discussions.
8. Warranties & Disclaimers
We warrant that services will be performed with reasonable professional skill. Except as expressly stated in a signed agreement, services and the website are provided "as is" without warranties of uninterrupted operation, fitness for a particular purpose, or error-free performance beyond agreed acceptance criteria.
9. Limitation of Liability
To the maximum extent permitted by law, Zygonich shall not be liable for indirect, incidental, special, or consequential damages. Our total liability for any claim arising from a project shall not exceed the fees paid by the client for that specific project in the twelve (12) months preceding the claim, unless a higher limit is set in the signed agreement.
10. Termination
Either party may terminate a project per the termination clause in the signed SOW. Upon termination, the client pays for work completed and approved expenses incurred to date.
11. Governing Law
These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Noida, Uttar Pradesh, unless otherwise agreed in writing.
12. Changes
We may update these Terms at any time. Continued use of the website after changes constitutes acceptance of the revised Terms.
